Revenue Waterfall

① GROSS REVENUE

All receipts collected by Cold Trigger from distribution, licensing, and direct sales — before any deductions.

② PLATFORM / DISTRIBUTION FEES

Storefront fees, vendor cuts, and distribution costs deducted at source before anything else.

③ DIRECT PRODUCTION RECOUP

Documented, pre-approved out-of-pocket costs tied to a specific release — editing, formatting, design, manufacturing, ad spend, fulfillment. No overhead. No salaries. No cross-title recoup.

④ COLD TRIGGER OPERATING RESERVE

A reserve amount set by unanimous founder resolution. Retained by Cold Trigger to fund ongoing operations. Amount is not fixed — founders control it.

⑤ METAMAITREYA PARENT TREASURY

Net revenue remitted to MetaMaitreya quarterly, no later than the 15th day after each quarter ends. Everything flows home.

Ownership & Control

  • Cold Trigger owns nothing — All IP, copyrights, trademarks, source code, binaries, schemas, and audiovisual assets remain the sole property of MetaMaitreya. CT receives administration and exploitation rights only.
  • Exclusive administration — CT holds the exclusive worldwide right to prepare, package, release, license, and exploit derivative works and future versions — but ownership stays centralized with MetaMaitreya.
  • Founder amendment only — This agreement can only be changed by unanimous written consent of all three founders. No oral modification is effective.
  • Auto-reversion — If Cold Trigger is dissolved, merged, or deactivated, all rights automatically revert to MetaMaitreya with no further action or documentation required.

Release & Approval Controls

  • No release without MM approval — Every commercial release, major update, localization branch, derivative edition, open-source disclosure, or retirement requires MetaMaitreya sign-off.
  • 14-day turnaround — MetaMaitreya must respond in writing within 14 calendar days. Silence after 14 days = deemed approved. Cold Trigger's submission must identify the release, describe the action, and include all review materials.
  • CT controls lifecycle ops — Cold Trigger manages release approvals, metadata, ISBNs, software versioning, archive preservation, deprecation, DMCA actions, and the chain-of-title rights ledger.
  • Global scope — Authority covers worldwide localization, translation, UI language packs, territory-specific packaging, and all future distribution technologies.

Dual-Approval Safeguard

The proxy may only be exercised when both Tyler and Kyle independently agree. Alex's proxy functions solely as a confirming third vote — it cannot be used to override Tyler.
